1. Purpose of Confidentiality in RV Park Acquisitions
Commercial RV park and campground transactions frequently require the disclosure of proprietary, highly sensitive financial and operational information. This Non-Disclosure & Confidentiality Agreement ("Agreement") establishes the legally binding covenants prospective buyers agree to before gaining access to confidential property documentation on RVParkShop.
2. Definition of Confidential Evaluation Materials
"Confidential Information" encompasses all proprietary data provided directly or indirectly regarding the subject property, whether conveyed in writing, electronically, or verbally, including but not limited to:
- Financial Records: Historical and current profit-and-loss statements (P&Ls), IRS Schedule C/tax returns, balance sheets, capital expenditure ledgers, and revenue records.
- Operational Data: Rent rolls, site lease agreements, occupancy statistics, utility billing schedules, management contracts, and vendor terms.
- Strategic Information: Property master plans, expansion engineering reports, appraisal opinions, off-market seller identities, and private purchase pricing structures.
3. Buyer Obligations & Restricted Use
As the prospective purchaser and receiving party, you agree to the following terms:
- Sole Purpose: Confidential Information shall be used exclusively for evaluating a potential purchase, investment, or partnership with respect to the property.
- Strict Non-Disclosure: You shall not publish, distribute, duplicate, disclose, or reveal any portion of the Confidential Information to any third party without prior written authorization from the seller or listing broker.
- Protection Standard: You agree to protect Confidential Information using the highest standard of care, at least equal to the care you exercise regarding your own proprietary assets.
4. Non-Circumvention & Non-Disruption
Prospective buyers expressly agree to the following conduct restrictions:
- No Direct On-Site Contact: You shall not under any circumstances contact on-site campground managers, maintenance staff, employees, suppliers, or park tenants directly without the express written coordination of the listing broker or seller.
- No Unscheduled Visits: Casual visits to the property must be conducted discreetly as regular guests without alerting staff or patrons that the campground is offered for sale. Formal inspections must be scheduled in advance through the listing broker.
- Non-Circumvention: You agree not to circumvent the listing broker or RVParkShop to consummate a transaction behind their backs or avoid agreed commission structures.
5. Permitted Disclosures to Professional Advisors
You may disclose Confidential Information solely to your designated representatives (such as attorneys, CPAs, commercial mortgage brokers, and equity partners) who need to know such information for evaluation purposes, provided they are informed of this Agreement and agree to be bound by its terms.
6. Exclusions to Confidentiality
Confidential Information does not include data that:
- Is or becomes publicly known through no breach of this Agreement by you.
- Was already in your lawful possession prior to disclosure by the seller/broker.
- Is lawfully obtained from an independent third party without breach of confidentiality duties.
- Is required to be disclosed pursuant to a valid judicial order or governmental authority (with prompt advance notice given to the disclosing party).
7. Duration & Return of Materials
This Agreement and its confidentiality covenants shall remain in full force for a period of two (2) years from the date of digital execution. Upon written request by the disclosing party, you agree to promptly destroy or return all digital files, summaries, and physical copies of the Confidential Information.
8. Remedies & Digital Signature
You acknowledge that any unauthorized disclosure or breach of this Agreement would cause irreparable harm for which monetary damages alone would be inadequate. Accordingly, the disclosing party shall be entitled to seek equitable relief, including preliminary and permanent injunctions, in addition to any available legal damages and reasonable attorney fees.
