1. Acceptance of Terms

Welcome to RVParkShop ("we," "us," or "our"). By accessing or using our website, mobile applications, APIs, deal calculator tools, and marketplace services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue using our Services.

2. Independent Due Diligence Required

All property listings, financial figures, cap rates, gross annual revenues, occupancy rates, lot counts, utility specifications, and geographic data displayed on RVParkShop are provided solely by third-party sellers, listing brokers, and automated enrichment feeds. While we strive to maintain high quality standards across our directory:

• No Financial or Valuation Guarantees: RVParkShop makes no representations, warranties, or endorsements regarding the accuracy, completeness, or profitability of any listing.
• Buyer Responsibility: Every prospective buyer is solely responsible for conducting independent commercial due diligence, including on-site physical inspections, environmental Phase I/II assessments, zoning and land-use verification, title examinations, and comprehensive CPA audits of tax returns and profit-and-loss statements.
• Professional Consultation: We strongly advise consulting with licensed real estate attorneys, commercial lenders, certified public accountants, and engineers prior to submitting earnest money or executing purchase agreements.

3. User Accounts and Verification

To access certain features of the platform (such as submitting buyer interest, executing Non-Disclosure Agreements, creating park listings, or utilizing deal analysis models), you may be required to register an account.

• You agree to provide accurate, current, and complete registration information.
• You are solely responsible for maintaining the confidentiality of your login credentials.
• You agree to immediately notify RVParkShop of any unauthorized use or security breach of your account.

4. Seller and Broker Listing Guidelines

If you create, claim, or sponsor a listing on RVParkShop, you represent and warrant that:

1. You hold legal title to the property or possess written authorization and a valid listing agreement from the property owner to market the park.
2. All information, financial representations, photo assets, and operational descriptions submitted are truthful, non-infringing, and not misleading.
3. You will promptly update or mark the listing as under contract/sold once an agreement is reached.
4. RVParkShop reserves the right to unpublish, reject, or edit any listing that violates our standards or contains fraudulent information.

5. Subscriptions, Fees, and Promotions

Certain services—including Premium Seller packages, Featured Listing placement, soft-lead access, and advertising banner campaigns—require payment of agreed subscription or promotional fees.

• Billing & Renewals: Paid plans automatically renew at the end of each billing interval unless cancelled through your dashboard prior to the renewal date.
• Refunds: Because advertising deliverables and digital marketplace access are rendered immediately upon activation, fees are non-refundable except where required by law.

6. Prohibited Activities

When using RVParkShop, you agree not to engage in any of the following prohibited behaviors:

• Employing automated spiders, scraping tools, bots, or harvesting algorithms to scrape listing data, contact directories, or market intelligence without our prior written consent.
• Directly contacting campground managers, staff, or tenants without the express authorization of the seller or broker.
• Uploading malicious code, viruses, or attempting to compromise the security, infrastructure, or availability of our systems.
• Impersonating another person, broker, investor, or legal entity.

7. Intellectual Property

All content, branding, logo designs, page templates, deal calculator software algorithms, and aggregated data compilations on RVParkShop are the proprietary intellectual property of RVParkShop and its licensors. You are granted a limited, revocable, non-exclusive license for personal commercial evaluation purposes only.

8. Limitation of Liability & Indemnification

To the maximum extent permitted by applicable law, RVParkShop, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of real estate profits, failed business acquisitions, downtime, or reliance on information presented on this platform.

You agree to indemnify and hold harmless RVParkShop from any third-party claims, liabilities, damages, and legal expenses arising out of your violation of these Terms or your real estate transactions.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of jurisdiction where RVParkShop is registered, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration or state/federal courts of competent jurisdiction.
